2011 TOTAL UKCS OPPORTUNITY

Total E&P UK Limited (“TOTAL”) has engaged Scotia Waterous to assist in the divesture of a suite of non-operated assets comprising 3 packages – a)  12.65% WI in the Alba Field, b) 12.43% WI in the Mungo Monan fields and 3.376% WI in the ETAP facilities and c) various WI in the Greater Armada Area  including the Armada, Everest, Maria and Seymour fields and a small equity in the CATS system.  The full list of assets in the offering are:

  • 12.65% WI in Licence P213 Block 16/26a (Area A Alba Field) and Block 16/26a Area C (Residual above 10000’)
  • 26.00% WI in Licence P345 Block 16/27b (Area A excluding Britannia)

Mungo & Monan including ETAP CPF

  • 12.43% WI in Licence P.059 Blocks 22/20a and 23/16a (Mungo, Monan Unit)
  • 3.376% WI in ETAP CPF

Greater Armada Area

  • 26.72% WI  in Licence P355 Block 22/4a (Armada Field) and (Non Armada Field Area)
  • 25.00% WI in Licence P356 Block 22/5b (Armada Field)

  • 28.96% WI in Licence P110 Block 16/29a (Contract Area B Maria Area) and (Moira Area)

Everest including CATS

  • 14.48% WI in Licence P110 Block 22/14a (Everest)
  • 0.8688% WI in Everest Unit
  • 0.5684% WI in CATS


TRANSACTION PROCESS

The expected timetable for the Offering is as follows:

Information Memorandum ("IM") Available 05 September 2011
Virtual Data Room ("VDR") Open 05 September 2011
Seismic Data Room Open    12 September 2011
Bid Submission Date (Noon UK time) 27 October 2011
Bids to remain open until    28 November 2011

Interested parties for the Offering will be required to execute the Confidentiality Agreement (“CA”) and fax/email it to Scotia Waterous London offices (+44 20 7826 5791) for the attention of Bill Hancock (Bill.Hancock@scotiabank.com).  Two signed, final hard copy originals of each CA should also be sent to Bill Hancock in the London office. On receipt of the signed CA, access will be granted to the Intralinks online VDR which will include a copy of the confidential IM. A hard copy IM will also be dispatched along with an additional data DVD. In addition to the virtual data, a physical data room containing seismic work stations running Petrel will be available at Scotia Waterous’ offices in London.
